Terms of Service

Effective as of 12/15/2015
These Terms of Service (“Agreement”) govern all services provided by Noble by Design, a Nevada-based business, to its clients. By commissioning work or making payment, you (“Client”) agree to the following terms:

Welcome to Noble By Design.

1. Acceptance

No signed agreement is necessary for these terms to apply. By accepting a proposal, making a payment, or requesting services from Noble by Design, the Client accepts these terms in full.

2. Quotations and Payment Terms

Web Design Services

  • Project quotes are valid for 30 days.

  • Unless otherwise agreed in writing, payment is structured as follows:

    • 50% deposit before project start

    • 25% midway through development

    • 25% upon completion and before launch or file transfer

  • Payments may be made by check, digital payment, or bank transfer. Checks should be made payable to:

Late payments over 30 days will incur either 1.5% monthly interest or a $30 minimum fee.

Monthly Marketing Services

For ongoing marketing services, including but not limited to social media management, Facebook and Instagram advertising, and Google Ads campaign management, the Client agrees to the following:

  • Services are billed monthly on the date of invoice issuance and are due upon receipt.

  • Marketing services are considered an ongoing agreement unless otherwise stated in writing by either party.

  • Services will commence only after the first month’s payment is received.

  • Late payments beyond 10 days may result in paused campaigns or content scheduling until the account is brought current.

  • Ad spend budgets for platforms like Facebook or Google are separate from Noble by Design’s service fee and are paid directly by the Client to the ad platform.

3. Client Responsibilities

  • The Client agrees to assign one point of contact and provide all requested content (text, images, video, etc.) in a timely manner.

  • Failure to supply content within one week of the agreed start date may result in additional charges or project termination with remaining balance due.

4. Project Timeline and Reviews

  • Noble by Design will deliver the project within the timeline agreed upon in writing.

  • Client will be provided opportunities to review work at key milestones. If no objections are raised within 10 days of delivery, the work is deemed approved.

5. Changes and Revisions

  • Revisions beyond the original project scope will be billed at Noble by Design’s standard hourly rate.

  • Substantive changes requiring more than 15% of the original scope may require a revised proposal.

6. Browsers and Compatibility

Sites are tested in modern browsers (e.g. Chrome, Firefox, Safari, Edge). Functionality in outdated or future browsers is not guaranteed.

7. Hosting and Access

If a project is hosted externally, the Client must provide all necessary access (FTP, control panel, etc.) to install and configure the site.

Reactivation of Suspended Hosting
If hosting services are suspended due to non-payment within 7 days of the due date, a $100 reactivation fee will apply. Services will be restored once the account is brought current. Reactivation may take up to 48 hours after payment is received. Noble by Design is not responsible for any downtime, lost traffic, or missed leads resulting from service interruption.

8. Domain Names

Clients are responsible for domain registration and renewal unless otherwise specified. Noble by Design is not liable for expired domains.

9. Content Ownership and Licensing

  • The Client retains rights to their supplied content and represents that all materials used are owned or properly licensed.

  • Noble by Design retains rights to tools, frameworks, and prebuilt systems used in the project.

  • The final website design is transferred to the Client upon full payment unless otherwise stated.

10. Design Credit and Portfolio Use

  • A small “Website by Noble by Design” credit will appear in the site footer unless waived (waiver incurs a 10% surcharge or $500 minimum).

  • Projects may be showcased in the Noble by Design portfolio unless requested otherwise.

11. Liability and Warranties

  • Noble by Design will deliver services in a professional manner but is not responsible for:

    • Client errors or missing approvals

    • Downtime or errors caused by third-party platforms

    • Loss of data or profits

  • Liability is limited to the amount paid under this Agreement.

12. Termination

  • Either party may terminate in writing. Work completed up to that date will be billed and is due within 30 days.

  • Noble by Design reserves the right to pause or terminate work if invoices are unpaid beyond 30 days.

13. Social Media Management

Social media services require a 3-month minimum commitment, with monthly payments due in advance. Late payments may pause service delivery.

14. Governing Law

This Agreement is governed by the laws of the State of Nevada.

15. Severability

If any part of this Agreement is found to be invalid, the remaining terms shall remain in effect.

16. Entire Agreement

These terms, along with any signed proposals or quotes, represent the full agreement between Client and Noble by Design and supersede all prior communications.
